1. Acceptance of Terms

By accessing or using LexAI.llc ("LexAI", "Service", "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

These Terms constitute a legally binding agreement between you ("User", "you") and Dollar Double Empire, operating as LexAI.llc ("Company", "we", "us"), a business registered in Bermuda.

If you are using LexAI on behalf of an organisation (law firm, company, or other entity), you represent that you have authority to bind that organisation, and "you" includes that organisation.

By creating an account, you confirm that you are at least 18 years of age (or the age of majority in your jurisdiction if higher), and that you have read, understood, and agree to these Terms and our Privacy Policy.

2. Description of Service

LexAI is an AI-powered legal technology platform that provides:

All AI features are powered by Anthropic's Claude API. Case law data is sourced from CourtListener and Harvard Caselaw Access Project (see Section 9).

We reserve the right to modify, add, or remove features at any time. We will provide reasonable notice for material changes that affect paid plan functionality.

3. Account Registration

3.1 Free Preview (No Account Required)

You may access one free document preview without creating an account. This preview is a partial output (first 3 sections) for demonstration purposes only. To access the full document or any other feature, you must create a free account.

3.2 Account Creation

To create a free account you must provide a valid email address or sign in via Google or GitHub OAuth. You agree to provide accurate and complete information and to keep it updated.

3.3 Account Security

You are responsible for maintaining the security of your account credentials. You agree to notify us immediately at security@lexai.llc if you suspect unauthorised access to your account. We are not liable for losses resulting from unauthorised use of your account due to your failure to secure it.

3.4 One Account Per Person

Each person may maintain only one free account. Creating multiple accounts to circumvent plan limits is a violation of these Terms and may result in all accounts being terminated.

4. Plans, Pricing & Billing

4.1 Available Plans

Current pricing is as stated above. Pricing may change; we will provide 30 days' notice to existing subscribers before any price increase takes effect.

4.2 Billing

Paid plans are billed monthly in advance. Billing is processed by Stripe. By subscribing, you authorise LexAI to charge your payment method on a recurring monthly basis until you cancel.

4.3 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. You retain full access to your plan features until the period ends. We do not provide prorated refunds for partial months, except as required by applicable law.

4.4 Refunds

If you are unsatisfied within the first 7 days of your first paid subscription, contact hello@lexai.llc for a full refund. After 7 days, refunds are at our discretion on a case-by-case basis.

4.5 Legacy Rate Commitment

Accounts created during our founding enrollment period (while enrollment is below 2,000 seats) retain their subscription price for as long as they remain continuously subscribed, even if we raise prices for new subscribers. This commitment applies only to the plan tier active at the time of enrollment.

4.6 Document Limits

Document usage counts reset on the first day of each calendar month. Unused document allowances do not roll over. If you reach your plan limit mid-month, you must upgrade to generate additional documents.

5. Acceptable Use

You agree to use LexAI only for lawful purposes. You must not:

6. Intellectual Property — Your Content

6.1 You Own Your Documents

You retain full ownership of all documents you create using LexAI, all content you upload for analysis, and all outputs generated by the AI in response to your requests.

6.2 Licence to LexAI

By using LexAI, you grant us a limited, non-exclusive, royalty-free licence to store, process, and transmit your content solely for the purpose of providing the Service to you. This licence ends when you delete the content or your account.

We do not claim any ownership over your content. We do not use your content to train AI models. We do not share your content with other users (except via Shared Spaces you create).

6.3 AI Output Ownership

Documents drafted by LexAI's AI in response to your requests are yours. You may use them for any lawful purpose. However, because AI systems can produce similar outputs for different users given similar inputs, we do not warrant that your AI outputs are unique or novel for intellectual property purposes.

6.4 Responsibility for Content

You are solely responsible for the content you upload to LexAI and for ensuring you have the right to submit it for processing. You must not submit confidential third-party information without authorisation.

7. Intellectual Property — LexAI Platform

The LexAI platform, including its code, design, AI prompt architecture, feature set, brand, and all proprietary systems (including the Self-Learning Engine and Words to Workflow system), is owned by Dollar Double Empire / LexAI.llc and protected by applicable intellectual property laws.

Nothing in these Terms grants you any rights to LexAI's proprietary technology, trademarks, or brand. You may not use the LexAI name, logo, or brand without our written consent, except as required to reference our service in a factually accurate way.

Firm-plan white-label licences are granted under separate written agreements and do not include rights to the underlying platform code.

8. AI Outputs & No Legal Advice

CRITICAL — PLEASE READ: LexAI is not a law firm. No AI output from LexAI constitutes legal advice. No attorney-client relationship is created by your use of LexAI. AI-generated documents and analysis may contain errors, omissions, or jurisdiction-specific inaccuracies. Always have AI outputs reviewed by a qualified, licensed attorney before execution, reliance, or submission to any court or regulatory body.

8.1 Nature of AI Outputs

LexAI's AI features generate outputs based on statistical patterns in training data and the specific inputs you provide. AI outputs:

Litigation prediction outputs are probabilistic models based on historical case patterns. They are not guarantees of any outcome. No legal or financial decision should be made solely on the basis of LexAI litigation predictions. Past case outcomes are not necessarily predictive of future results.

8.3 Professional Responsibility

If you are a licensed attorney or other regulated professional, you remain responsible for compliance with all professional responsibility rules applicable in your jurisdiction, including rules regarding supervision of AI tools, competence, candour, and disclosure. LexAI is a tool; the professional judgement remains yours.

9. Case Law Data — Accuracy & Limitations

LexAI's case law search is powered by CourtListener (Free Law Project) and Harvard Caselaw Access Project. These are reputable public legal databases, but:

10. Self-Learning Feature

The Self-Learning feature improves LexAI's AI outputs for your account by learning from your feedback and corrections. By using this feature, you acknowledge:

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LEXAI IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, OR UNINTERRUPTED SERVICE.

We do not warrant that:

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LEXAI, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO:

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO LEXAI IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD $100.

Some jurisdictions do not allow the limitation of liability for consequential damages, so this limitation may not apply to you in full.

You agree to indemnify, defend, and hold harmless LexAI, Dollar Double Empire, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:

15.1 Termination by You

You may close your account at any time. Paid subscriptions continue until the end of the billing period. You can request data deletion per our Privacy Policy.

15.2 Termination by LexAI

We reserve the right to suspend or terminate your account immediately if:

For minor violations, we will generally give warning before termination. For serious violations (fraud, abuse, illegal activity), we may terminate immediately without notice.

15.3 Effect of Termination

Upon termination, your access to the Service ceases. Your Vault content and account data are retained for 30 days to allow you to request an export, after which they are deleted. Certain data may be retained longer for legal compliance (see Privacy Policy Section 8).

15.4 Survival

Sections 6 (IP — Your Content), 8 (No Legal Advice), 12 (Disclaimer), 13 (Limitation of Liability), 14 (Indemnification), and 16 (Governing Law) survive termination of these Terms.

16. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of Bermuda, without regard to conflict of law principles.

Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved after 30 days, disputes shall be submitted to the exclusive jurisdiction of the courts of Bermuda.

If you are a consumer in a jurisdiction that does not permit mandatory arbitration or foreign governing law clauses (such as the EU), your local consumer protection laws may provide additional rights that these Terms cannot override.

Nothing in this section prevents you from seeking urgent injunctive relief in any jurisdiction to protect intellectual property or confidential information.

17. Changes to Terms

We may modify these Terms at any time. We will:

If you do not agree to the updated Terms, you must stop using the Service and may cancel your subscription before the changes take effect for a prorated refund of the unused portion of your current billing period. Continued use after changes take effect constitutes acceptance.

18. Miscellaneous

18.1 Entire Agreement

These Terms, together with the Privacy Policy and any plan-specific order forms or white-label agreements, constitute the entire agreement between you and LexAI regarding the Service.

18.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force and effect.

18.3 Waiver

Failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it in the future.

18.4 Assignment

You may not assign these Terms without our written consent. We may assign our rights and obligations (e.g. in connection with a merger or acquisition) upon notice to you.

18.5 Force Majeure

We are not liable for delays or failures in performance due to causes beyond our reasonable control, including internet outages, third-party API failures (Anthropic, Stripe), natural disasters, or government actions.

18.6 No Third-Party Beneficiaries

These Terms do not confer any rights on any third parties.
